These Terms of Service (“Terms”) are a legal agreement between you and Lambda Inc. (“Inventory Hero,” “we,” “us”) governing your use of inventoryhero.ai (the “Service”).
By using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and have a valid Amazon Seller Central account to use the Service.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of unauthorized access.
By connecting your Amazon account, you authorize us to access your seller data through Amazon’s Selling Partner API solely to provide the Service. You confirm you have authority to grant this access.
Amazon may modify or revoke API access at any time. We are not responsible for Amazon’s actions or policies.
The Service is offered on a subscription basis. Subscriptions renew automatically for successive terms of the same length at the then-current price unless you cancel before the renewal date through the Service. Fees are non-refundable except as required by law. You are responsible for applicable taxes. We may change pricing on notice before the next renewal term.

The Service and its content are owned by Inventory Hero. You receive a limited, non-exclusive license to use the Service in accordance with these Terms. You retain ownership of your data.
The Service integrates with Amazon and other third-party services. We do not control and are not responsible for the availability, accuracy, or reliability of third-party services.
Our handling of personal information is described in our Privacy Policy. Where required by applicable data protection law, a Data Processing Addendum is available to customers on request.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE. WE DO NOT GUARANTEE THE ACCURACY OF DATA FROM THIRD-PARTY SOURCES INCLUDING AMAZON.
Forecasts, restock recommendations, and inventory projections are computational estimates only; they do not constitute professional, financial, or business advice, and all purchase and inventory decisions remain solely yours.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVENTORY HERO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.
You agree to indemnify and hold harmless Inventory Hero from claims arising from your use of the Service, violation of these Terms, or violation of any law or third-party rights.
Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
Arbitration: Disputes shall be resolved by binding arbitration administered by JAMS in Delaware. The arbitrator’s decision is final. Either party may seek injunctive relief in court.
Class Action Waiver: Disputes must be brought individually, not as part of a class action.
Opt-Out: You may opt out of arbitration by notifying legal@inventoryhero.ai within 30 days of accepting these Terms.
Either party may terminate at any time. Upon termination, your right to use the Service ends and we will delete your data within 30 days, except as required for legal compliance.
We may update these Terms at any time. We will notify you of material changes. Continued use after changes constitutes acceptance.
The Service is provided on an “as-is” and “as-available” basis. Features may be added, changed, limited, or removed at any time without notice. We do not guarantee availability or uptime of the Service.
Neither party is liable for any failure or delay caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, or actions of third-party providers (including Amazon).
We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign these Terms without our prior written consent.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service. If any provision is unenforceable, the remainder continues in effect. Our failure to enforce a provision does not waive that right.
